These Terms of Service ("Terms") govern your use of the Zetisis online platform and services available at zetisis.com ("Platform") during the Beta phase. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
During Beta, Zetisis is operated by Georgios Bilalis (Athens, Greece) and may later be transferred to an incorporated legal entity.
1. Definitions
- Platform: The Zetisis web application, services, and related infrastructure
 - User: Any individual or legal entity using the Platform
 - Company: A business profile created within the Platform
 - RFQ: Request for Quotation
 - RFI: Request for Information
 - Offer: A quotation or proposal submitted by a User or Company in response to an RFQ or RFI
 - Content: All data, files, documents, images, text, and other materials uploaded, transmitted, or stored through the Platform
 - Beta: Pre-release testing stage with limited participants (maximum 50 users)
 - Operator: Georgios Bilalis, the current operator of Zetisis
 
2. Acceptance of Terms
By creating an account or using the Platform, you confirm that:
- You have read, understood, and agree to these Terms and our Privacy Policy
 - You are at least 18 years of age
 - If acting on behalf of a company or organization, you have the legal authority to bind that entity to these Terms
 - You will comply with all applicable local, national, and international laws and regulations
 
We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the Platform. Continued use after notification constitutes acceptance of the updated Terms. If you do not agree with changes, you must discontinue use and may request account deletion.
3. Beta Disclaimer
The Platform is currently in closed Beta testing with a maximum of 50 participants. During this phase:
- The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
 - The Platform may contain bugs, errors, incomplete features, or performance issues
 - Downtime, data loss, or service interruptions may occur without notice
 - Features, functionality, and design may change or be removed at any time
 - No service level agreements (SLAs) are in effect during Beta
 - Beta access may be revoked at any time at our sole discretion
 
Zetisis disclaims all liability for issues, losses, or damages arising during the Beta phase. By participating in Beta, you acknowledge these risks and agree to provide constructive feedback to help improve the Platform.
4. Eligibility and Registration Requirements
4.1 Who Can Use Zetisis
The Platform is intended for:
- Business-to-business (B2B) professional use
 - Individuals aged 18 and above
 - Companies and organizations engaged in manufacturing, industrial services, or related sectors
 
4.2 Prohibited Users
You may not use the Platform if you:
- Are under 18 years of age
 - Have been previously banned or suspended from the Platform
 - Are located in a jurisdiction where use is prohibited by law
 - Are subject to sanctions or export control restrictions
 
5. Platform Purpose and Scope
Zetisis provides B2B collaboration tools including:
- Creation and management of company profiles
 - Posting and responding to RFQs (Requests for Quotation) and RFIs (Requests for Information)
 - Submission and comparison of Offers
 - Company equipment, services, and standards/ISO certification listings
 - Messaging and communication between platform users
 - Document and file sharing related to projects and quotations
 
What Zetisis is NOT:
- A broker, agent, or intermediary in transactions
 - A reseller, manufacturer, or service provider
 - A party to any contracts formed between users
 - Responsible for verifying user credentials, certifications, or capabilities
 - A guarantor of quality, pricing, delivery, or performance
 
6. Supplier–Buyer Relationship
All business relationships, contracts, and transactions conducted through the Platform are exclusively between users. Zetisis:
- Does not guarantee the quality, safety, legality, or accuracy of products or services offered
 - Does not verify pricing, delivery terms, or payment conditions
 - Is not responsible for fulfillment, shipping, warranties, or after-sales support
 - Does not mediate disputes between users (though we may assist with communication)
 - Does not conduct background checks, financial verification, or capability assessments
 
Users must conduct their own due diligence before entering into any agreements, including verifying:
- Company registration and legal status
 - Financial stability and creditworthiness
 - Technical capabilities and certifications
 - References and past performance
 - Compliance with applicable regulations
 
7. Account Registration and Security
7.1 Account Creation
To use the Platform, you must create an account with accurate, current, and complete information, including:
- Full name
 - Valid email address
 - Secure password
 - Company information (if applicable)
 
You agree to:
- Provide truthful and accurate information
 - Update your information promptly if it changes
 - Not impersonate any person or entity
 - Not create multiple accounts without permission
 
7.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password and login credentials
 - All activities that occur under your account
 - Notifying us immediately of any unauthorized access or security breach
 - Using a strong, unique password (we recommend using a password manager)
 
We recommend enabling any available security features, including multi-factor authentication when it becomes available.
7.3 Account Restrictions
Accounts are:
- Personal and non-transferable (you may not sell, share, or transfer your account)
 - Subject to verification (we may request additional documentation to verify identity or company information)
 - Revocable (we may suspend or terminate accounts for violations or legal reasons)
 
8. Data & Content Ownership
8.1 Your Content
You retain all intellectual property rights to Content you upload, create, or transmit through the Platform. This includes:
- Company profiles and descriptions
 - RFQs, RFIs, and Offers
 - Technical drawings, specifications, and documents
 - Messages and communications
 - Photos, logos, and other media
 
8.2 License to Zetisis
By uploading Content, you grant Zetisis a limited, non-exclusive, revocable, worldwide license to:
- Host, store, and display your Content
 - Process and transmit Content to facilitate Platform functionality
 - Create backups for data protection purposes
 - Use aggregated, anonymized data for analytics and improvement
 
This license exists solely to operate the Platform and terminates when you delete Content or close your account (subject to retention periods in our Privacy Policy).
8.3 Your Representations
By uploading Content, you represent and warrant that:
- You own or have the necessary rights, licenses, and permissions
 - Your Content does not infringe on third-party intellectual property rights
 - Your Content complies with all applicable laws and these Terms
 - You have obtained necessary consents for any personal data included in Content
 
8.4 Proprietary Information
RFQs, RFIs, Offers, and related communications may contain:
- Confidential business information
 - Trade secrets
 - Technical specifications
 - Pricing strategies
 - Proprietary designs or processes
 
You are responsible for determining what information to share and with whom. See Section 9 (Confidentiality) for additional protections.
8.5 Zetisis Intellectual Property
The Platform itself, including its design, features, software, algorithms, trademarks, and branding, is the intellectual property of Zetisis/Georgios Bilalis. You may not:
- Copy, modify, or reverse engineer the Platform
 - Use Zetisis trademarks without written permission
 - Create derivative works based on the Platform
 - Scrape or extract data using automated tools
 
9. Acceptable Use Policy
9.1 Prohibited Activities
You agree NOT to:
- Post illegal content: Content that violates laws, promotes illegal activities, or infringes intellectual property rights
 - Engage in fraud or misrepresentation: False claims about products, services, capabilities, certifications, or pricing
 - Spam or abuse messaging: Unsolicited mass messages, promotional content unrelated to legitimate business inquiries, or harassment
 - Upload malicious content: Viruses, malware, ransomware, or harmful code
 - Bypass security: Attempt to circumvent authentication, access controls, or rate limiting
 - Scrape or harvest data: Use bots, scripts, or automated tools to extract data
 - Impersonate others: Pretend to be another user, company, or Zetisis representative
 - Disrupt the Platform: Interfere with server operations, overload systems, or conduct denial-of-service attacks
 - Post offensive content: Defamatory, discriminatory, threatening, obscene, or hateful material
 - Violate export controls: Upload ITAR, EAR, dual-use, or other regulated content (see Section 11)
 - Manipulate pricing: Collude with others to fix prices or engage in anti-competitive behavior
 - Use for personal purposes: The Platform is for B2B use only, not consumer transactions
 
9.2 Consequences
Violation of this Acceptable Use Policy may result in:
- Content removal without notice
 - Account suspension or permanent ban
 - Reporting to law enforcement authorities
 - Legal action to recover damages
 
9.3 Reporting Violations
If you encounter content or behavior that violates these Terms, please report it to georgebilalis@hotmail.com with details and evidence.
10. Confidentiality & Non-Disclosure
10.1 Confidential Information
Users acknowledge that information shared through the Platform may be confidential, including:
- RFQs, RFIs, and Offers
 - Technical specifications and drawings
 - Pricing and cost structures
 - Business strategies and plans
 - Customer lists and project details
 
10.2 User Obligations
You agree to:
- Treat all information received through the Platform as confidential
 - Not disclose confidential information to third parties without written consent
 - Use confidential information only for the purpose of evaluating or fulfilling business opportunities through the Platform
 - Protect confidential information with the same care you use for your own sensitive data
 
10.3 Zetisis Access
Access to user Content and communications within Zetisis is strictly limited to:
- The Operator (Georgios Bilalis)
 - Authorized technical staff (if any) for platform maintenance, security, and compliance purposes only
 
We do not read, monitor, or analyze user communications except:
- When necessary to investigate suspected Terms violations
 - When required by law or court order
 - To respond to user support requests
 - For security monitoring and abuse prevention
 
10.4 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no breach of these Terms
 - Was already known to you before disclosure
 - Is independently developed without use of confidential information
 - Must be disclosed by law or regulation
 
11. Feedback & Analytics
During the Beta phase:
- User feedback is collected to improve the Platform
 - Feedback is visible only to the Operator (Georgios Bilalis)
 - We use first-party analytics only (no Google Analytics or third-party trackers)
 - Analytics data includes: pages viewed, session duration, IP addresses, user agents, and interaction patterns
 - We do not sell, lease, or share analytics data with third parties
 - Aggregated, anonymized data may be used for platform improvement and reporting
 
By submitting feedback or suggestions, you grant Zetisis a perpetual, royalty-free license to use and implement such feedback without compensation or attribution.
12. Export Control & Compliance
12.1 Prohibited Content
You agree NOT to upload, share, or transmit information subject to export controls, including:
- ITAR (International Traffic in Arms Regulations) - U.S. defense articles and technical data
 - EAR (Export Administration Regulations) - U.S. dual-use items and technologies
 - EU Dual-Use Regulation (2021/821) - Items usable for both civilian and military purposes
 - Technology or products subject to sanctions (e.g., Iran, North Korea, Russia sanctions)
 - Controlled nuclear, chemical, or biological materials or technology
 
12.2 User Responsibility
You are solely responsible for:
- Determining whether your Content is subject to export controls
 - Obtaining necessary export licenses or authorizations
 - Ensuring compliance with applicable trade regulations
 - Screening your business partners against sanctions lists (e.g., OFAC, EU consolidated list)
 
12.3 Enforcement
Zetisis reserves the right to:
- Suspend or delete accounts that violate export control laws
 - Remove Content suspected of containing controlled information
 - Report violations to relevant authorities
 - Block access from sanctioned jurisdictions
 
Violations may result in severe legal penalties, including fines and imprisonment.
13. AI & Automation
The Platform may incorporate artificial intelligence, machine learning, or automated features, including:
- Analytics and reporting
 - Recommendations or suggestions
 - Search and matching algorithms
 - Automated quoting or pricing assistance (future feature)
 
Important disclaimers:
- All AI or automated outputs are informational only and non-binding
 - You must independently verify all results, recommendations, pricing, and compliance
 - Zetisis is not liable for errors, inaccuracies, or losses resulting from use of AI features
 - AI outputs do not constitute professional advice (legal, financial, engineering, etc.)
 
14. Non-Circumvention
By using the Platform, you agree not to:
- Circumvent Zetisis by conducting transactions off-platform with parties you discovered through Zetisis
 - Use the Platform solely to identify potential partners and then bypass the Platform for future dealings
 - Encourage or facilitate others in circumventing the Platform
 
This non-circumvention obligation:
- Applies for the duration of your use of the Platform plus 12 months after account closure or termination
 - Does not apply to relationships established outside of and prior to using Zetisis
 - May be modified if future subscription packages introduce marketplace fees, commissions, or referral programs (you will be notified in advance)
 
During Beta (free phase): This clause is primarily to establish the principle. Enforcement will be more rigorous if/when paid plans are introduced.
15. Subscription & Payments
15.1 Beta Phase
The Beta phase is 100% free. No payment information is collected, and no charges will be incurred.
15.2 Future Paid Plans
After Beta, Zetisis may introduce subscription packages, including:
- Different feature tiers (basic, professional, enterprise)
 - Usage-based pricing or transaction fees
 - Premium features or analytics
 
When paid plans launch:
- You will be notified at least 30 days in advance
 - Pricing and plan details will be clearly communicated
 - You may choose to subscribe, downgrade, or close your account
 - Payments will be processed via secure, PCI-compliant third-party processors (e.g., Stripe, PayPal)
 - Specific payment terms, refund policies, and billing cycles will be provided at that time
 
15.3 Taxes
All fees exclude applicable taxes (VAT, sales tax, etc.). You are responsible for paying all taxes associated with your use of paid services.
16. Supplier Vetting & User Verification
16.1 No Verification During Beta
Zetisis does not verify, vet, or validate:
- User identities or credentials
 - Company registrations or legal status
 - Technical capabilities or qualifications
 - Certifications, ISO standards, or accreditations
 - Financial stability or creditworthiness
 - Past performance or references
 
16.2 Future Verification Features
After Beta, we may introduce optional verification services such as:
- Email and phone number verification (basic)
 - Business registration validation
 - Third-party certification checks
 - User reviews and ratings
 - "Verified" badges for companies meeting certain criteria
 
However, even with verification, you must conduct your own due diligence. Zetisis does not guarantee the accuracy of verification services.
16.3 User Responsibility
Before entering into any business relationship, you should:
- Request and verify official company documents
 - Check business registries and credit reports
 - Request references and contact previous clients
 - Verify certifications with issuing bodies
 - Conduct site visits or audits when appropriate
 - Use contracts with appropriate protections (escrow, guarantees, etc.)
 
17. Disputes Between Users
Zetisis is not responsible for resolving disputes between users, including:
- Disagreements over pricing, quality, or delivery
 - Breach of contract or non-performance
 - Intellectual property disputes
 - Payment or invoicing issues
 
Recommended Approach:
- Attempt direct negotiation between parties
 - If unresolved, consider mediation or arbitration
 - As a last resort, pursue legal action in the appropriate jurisdiction
 
While Zetisis may facilitate communication or provide platform records upon request, we do not mediate, arbitrate, or take sides in user disputes.
18. Third-Party Links and Services
The Platform may contain links to third-party websites, services, or resources. Zetisis:
- Does not endorse, control, or assume responsibility for third-party content
 - Is not liable for damages arising from use of third-party services
 - Recommends reviewing third-party privacy policies and terms before use
 
19. Platform Modifications
Zetisis reserves the right to:
- Modify, update, or discontinue features at any time
 - Perform maintenance, resulting in temporary unavailability
 - Change the Platform's design, interface, or functionality
 - Add or remove integrations with third-party services
 
We will make reasonable efforts to notify users of significant changes, but we are not obligated to do so during the Beta phase.
20. Communications and Notifications
By using the Platform, you consent to receive communications from Zetisis, including:
- Transactional emails: Account verification, password resets, security alerts
 - Platform updates: New features, policy changes, Terms updates
 - Beta feedback requests: Surveys, feature testing invitations
 - Marketing communications: Only if you explicitly opt in (you can unsubscribe anytime)
 
Communications will be sent to the email address associated with your account. It is your responsibility to keep this address current.
21. Force Majeure
Zetisis is not liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, fires)
 - Pandemics or public health emergencies
 - War, terrorism, or civil unrest
 - Cyberattacks, DDoS attacks, or hacking incidents
 - Internet service provider failures
 - Government actions, embargoes, or sanctions
 - Strikes or labor disputes
 - Data center outages or third-party service disruptions
 
In such events, Zetisis will make reasonable efforts to restore service but is not obligated to provide compensation or refunds (once paid plans exist).
22. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability: The Platform is fit for general B2B collaboration purposes
 - Fitness for a particular purpose: The Platform meets your specific business needs
 - Non-infringement: Use of the Platform does not violate third-party rights
 - Accuracy: Content, data, or analytics are accurate or complete
 - Availability: The Platform will be uninterrupted, secure, or error-free
 - Results: Use of the Platform will achieve specific business outcomes
 
We do not warrant that:
- The Platform will meet your requirements
 - Defects will be corrected promptly or at all
 - The Platform is free from viruses or harmful components
 - Data will not be lost or corrupted
 
23. Limitation of Liability
23.1 No Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZETISIS AND THE OPERATOR (GEORGIOS BILALIS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
 - Loss of data or information
 - Loss of goodwill or reputation
 - Business interruption
 - Cost of substitute services
 
This applies regardless of whether such damages were foreseeable and even if Zetisis was advised of the possibility.
23.2 Aggregate Liability Cap
Zetisis's total aggregate liability for all claims arising from or related to the Platform is limited to the greater of:
- €100 (one hundred euros), or
 - The total subscription fees you paid to Zetisis in the three (3) months preceding the claim (once paid plans exist)
 
During the free Beta phase, the liability cap is €100.
23.3 Exceptions
Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence
 - Fraud or fraudulent misrepresentation
 - Gross negligence or willful misconduct
 - Any liability that cannot be excluded under applicable law
 
23.4 Basis of the Bargain
You acknowledge that these limitations of liability are fundamental elements of the agreement between you and Zetisis, and the Platform would not be provided without such limitations.
24. Indemnification
You agree to indemnify, defend, and hold harmless Zetisis, the Operator (Georgios Bilalis), and any future incorporated entity, along with their officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Platform
 - Your breach of these Terms or applicable laws
 - Your Content or materials uploaded to the Platform
 - Infringement of third-party intellectual property rights
 - Disputes with other users
 - Violation of export controls, sanctions, or trade regulations
 - Negligent or unlawful conduct
 
Zetisis reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully in such defense.
25. Termination
25.1 Termination by You
You may terminate your account at any time by:
- Submitting a deletion request via email to georgebilalis@hotmail.com
 - Using the account deletion feature in the Platform (once available)
 
25.2 Termination by Zetisis
We may suspend or terminate your account immediately, with or without notice, if:
- You violate these Terms or the Acceptable Use Policy
 - We suspect fraudulent, illegal, or harmful activity
 - Your account poses a security risk to the Platform or other users
 - We are required to do so by law or court order
 - We decide to discontinue the Beta program or Platform
 
25.3 Effect of Termination
Upon termination:
- Your access to the Platform will be immediately disabled
 - Your account data will be retained for 3 months as described in our Privacy Policy, then permanently deleted
 - You remain liable for any obligations incurred before termination
 - Outstanding invoices (once paid plans exist) remain due and payable
 
25.4 Surviving Provisions
The following sections survive termination:
- Content Ownership (Section 8)
 - Confidentiality (Section 10)
 - Non-Circumvention (Section 14, for 12 months post-termination)
 - Disclaimer of Warranties (Section 22)
 - Limitation of Liability (Section 23)
 - Indemnification (Section 24)
 - Governing Law and Disputes (Section 26)
 
25.5 Data Retrieval
Before deleting your account, you should export or back up any Content you wish to retain. After the 3-month retention period, data is permanently deleted and cannot be recovered.
26. Governing Law & Dispute Resolution
26.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Greece and applicable European Union legislation, without regard to conflict of law principles.
26.2 Jurisdiction
Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Athens, Greece.
26.3 Mediation
Before initiating court proceedings, parties agree to attempt to resolve disputes through good-faith mediation. Either party may request mediation by providing written notice. If mediation does not resolve the dispute within 60 days, either party may pursue litigation.
26.4 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions, class arbitrations, or representative proceedings, to the extent permitted by law.
27. Assignment and Transfer
Zetisis, currently operated by Georgios Bilalis, may:
- Assign or transfer rights and obligations under these Terms to a future incorporated entity
 - Transfer the Platform and all user data to a successor entity
 - Assign these Terms in connection with a merger, acquisition, or sale of assets
 
You will be notified of any such transfer. You may not assign or transfer your account or obligations under these Terms without our prior written consent.
28. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall remain in full force and effect.
29. No Waiver
Failure by Zetisis to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Zetisis.
30. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zetisis regarding use of the Platform and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.
31. Language
These Terms are provided in English. If translated into other languages, the English version shall prevail in case of any discrepancies or conflicts.

Beta Testing Acknowledgment: By using the Zetisis Beta Platform, you acknowledge that you have read, understood, and agree to these Terms of Service. You understand that the Platform is in a testing phase and accept the associated risks and limitations.
